1. Engagement Philosophy

By accessing the Digital Sparky Studio website or engaging our services, you agree to be bound by these Terms of Service. These terms govern the strategic partnership between Digital Sparky Studio ("The Studio") and the client ("The Client").

2. Intellectual Property (IP)

Unless otherwise agreed in a specific Master Service Agreement (MSA):

• Proprietary Methods: All "Digital Alchemy" methods, custom code snippets, and strategic frameworks remain the IP of the Studio.
• Deliverables: Upon final settlement of all accounts, the specific digital assets created for the Client (websites, videos, AI configurations) transfer to the Client's ownership.

3. Limitation of Liability

Digital Sparky Studio engineers high-performance systems. However, we are not liable for external market shifts, third-party platform failures (e.g., Google algorithm updates), or data breaches occurring on client-managed servers. Liability is strictly limited to total fees paid by the client for the specific project phase.

4. Service Modifications

We reserve the right to modify our "Video Alchemy" or "Precision Engineering" solutions as technology evolves. We will ensure all active legacy systems remain operational or are provided with a strategic migration path.

5. Governing Law

These terms are governed by the laws of the Republic of South Africa. Any disputes arising from international engagements (USA, UAE, etc.) shall be subject to the jurisdiction of the courts in Cape Town, Western Cape, unless otherwise specified in an MSA.
